Partner Program Terms of Service

1. The Program

ChatPingo sells WhatsApp messaging automation session capacity to Partners at a committed wholesale rate. Partners provision accounts, API keys, and WhatsApp sessions for their own end customers ("Customers") through the Partner Portal and API, and may resell that capacity under their own brand and pricing. ChatPingo has no direct relationship with, and is not responsible for billing, supporting, or contracting with, your Customers — that relationship and any obligations to them are entirely yours.

2. Eligibility & Account Registration

You must provide accurate registration information and keep it current. You're responsible for all activity under your partner account, including actions taken by your team members and by API keys you issue to Customers. Accounts may not be shared between unrelated businesses.

3. Your Responsibilities as a Partner

• You are solely responsible for ensuring you and your Customers have valid consent (opt-in) before messaging any recipient, and for complying with WhatsApp's own terms of service, commerce policy, and anti-spam rules, as well as applicable messaging and data protection law (e.g. CAN-SPAM, TCPA, GDPR) in the jurisdictions you and your Customers operate in.
• You may not use the Program, or permit a Customer to use it, to send unsolicited bulk messages, phishing, malware, illegal content, or content that violates WhatsApp's policies.
• You are responsible for safeguarding API keys issued to you and your Customers, and for any activity performed with them. Report a compromised key to us immediately at dev.chatpingo@gmail.com.
• You are responsible for your own Customer agreements, support, invoicing, and compliance obligations — ChatPingo provides the underlying infrastructure only.

4. WhatsApp Platform Disclaimer

ChatPingo is an independent platform and is not affiliated with, endorsed by, or sponsored by WhatsApp Inc. or Meta Platforms, Inc. The Program connects to WhatsApp using an unofficial protocol rather than WhatsApp's official Cloud API. As a result, WhatsApp numbers used through the Program can be limited, rate-limited, or banned by WhatsApp/Meta at their sole discretion, for reasons outside our control (e.g. recipient reports, messaging volume, or changes to WhatsApp's own systems and policies). ChatPingo is not liable for any such action taken by WhatsApp or Meta, or for resulting loss of access, data, or business.

5. Fees, Billing & Overage

Partners pay the flat wholesale rate for their committed session tier, billed monthly or annually as selected at signup. Usage beyond your committed tier is never blocked — it is billed as overage at your tier's per-session rate on your next invoice. Fees are non-refundable except as required by law. Failure to pay may result in suspension of your account and your Customers' sessions.

6. Term, Cancellation & Suspension

The Program is billed on a rolling monthly or annual cycle with no long-term contract. You may change tier or cancel at any time from the Partner Portal; changes take effect at the start of your next billing period. We may suspend or terminate your account for breach of these Terms, non-payment, or use that creates risk to the Program, other Partners, or WhatsApp's platform, with notice where reasonably practicable.

7. Intellectual Property

ChatPingo retains all rights to its platform, software, and branding. You retain all rights to your own brand and Customer relationships. Nothing here grants you rights to the ChatPingo name or logo except as needed to refer to the Program factually.

8. Disclaimer of Warranties & Limitation of Liability

The Program is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, ChatPingo's total liability arising from the Program is limited to the fees you paid us in the three months preceding the claim, and ChatPingo is not liable for indirect, incidental, or consequential damages, including lost profits or lost Customer business.

9. Indemnification

You agree to indemnify and hold ChatPingo harmless from claims arising from your (or your Customers') use of the Program, including claims related to messaging consent, content sent through the Program, or your Customer agreements.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Partner Portal or the email on file. Continued use of the Program after changes take effect constitutes acceptance.
